Introduction and Acceptance

Welcome to Zinancial. These Terms of Service govern your access to and use of the Zinancial website (www.zinancial.com), software platform, mobile applications, APIs, and related services. The Services provide AI-powered financial tools, accounting automation, data analytics, and related functionalities.

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and all applicable laws and regulations. If you do not agree, you must not use the Services.

We may enforce these Terms through automated systems or manual review. These Terms constitute a legally binding agreement between you and Zinancial.

Eligibility and Account Requirements

1. Age and Capacity Requirements

To use the Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable laws, including sanctions, export controls, or restrictions in your jurisdiction
  • Comply with all industry-specific regulations applicable to your business (e.g., financial services licensing requirements)

2. Entity Accounts

If using the Services on behalf of a company, organization, or other entity, you represent and warrant that:

  • You have the full authority to bind the Entity to these Terms
  • The Entity agrees to these Terms
  • The Entity will ensure compliance with all applicable laws and regulations

Account Registration and Security

1. Account Creation

To access certain Services, you must create an account by providing accurate, complete, and current information including name, email, business details, and other required information. You must:

  • Provide accurate, current, and complete information during registration
  • Keep all account information updated
  • Verify information promptly upon request
  • Maintain only one account per user or entity unless authorized by Zinancial

2. Account Security

  • Safeguard your login credentials (username, password, API keys, multi-factor authentication codes)
  • Enable multi-factor authentication (MFA) where available
  • You are solely responsible for all activities under your account, including unauthorized access due to shared credentials or security breaches on your end
  • Notify us immediately at support@zinancial.com of any suspected unauthorized use or security breach

3. Account Actions

We reserve the right to suspend or terminate accounts for:

  • Suspicious activity or security concerns
  • Incomplete or inaccurate information
  • Violations of these Terms or applicable laws
  • Non-payment of fees
  • Fraud or misuse

License and Permitted Use

1. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Zinancial grants you a limited, worldwide, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Services for your legitimate internal business purposes only.

2. License Restrictions

This license does not include the right to:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from the Services or any underlying code
  • Rent, lease, sell, resell, distribute, or syndicate access to the Services
  • Remove or alter proprietary notices, trademarks, or attributions
  • Use the Services to build, train, or improve competing products or services, including AI models for finance or accounting
  • Circumvent or disable any security, access control, or usage limit features
  • Access the Services through automated means (bots, scrapers) without written permission

Any rights not expressly granted are reserved by Zinancial.

Customer Data and Content

1. Data Ownership

You retain all ownership rights to data you upload, submit, or generate via the Services, including financial records, invoices, reports, and user-generated content.

2. Data Controller and Processor Roles

  • For Customer Data relating to your own customers or employees, you act as the data controller determining purposes and means of processing
  • Zinancial acts as a data processor, processing such information on your behalf according to your instructions, these Terms, and our Data Processing Agreement
  • For your own account information and usage data, Zinancial acts as the data controller as described in our Privacy Policy

3. Your Responsibilities

You must ensure that Customer Data:

  • Complies with all applicable laws and regulations
  • Does not infringe third-party intellectual property, privacy, or other rights
  • Does not contain viruses, malware, or harmful code
  • Is accurate and suitable for the intended processing

4. AI-Generated Outputs

  • Outputs generated by our AI tools based on your Customer Data are provided for your use but remain subject to these Terms
  • You are responsible for reviewing and verifying all AI outputs for accuracy before relying on them for business or financial decisions
  • Zinancial disclaims liability for decisions based on AI-generated outputs

Acceptable Use and Prohibited Conduct

You agree not to use the Services to:

  • Engage in illegal, fraudulent, or deceptive activities, including money laundering, tax evasion, phishing, or identity theft
  • Upload, transmit, or distribute viruses, malware, harmful code, or materials that disrupt, damage, or interfere with the Services
  • Infringe copyrights, trademarks, patents, trade secrets, privacy, publicity, or other rights of others
  • Violate financial regulations (e.g., AML/KYC, SOX, securities laws), export controls, sanctions (e.g., OFAC), or data protection laws
  • Harass, defame, threaten, or impersonate others
  • Use automated tools (e.g., bots, scrapers, crawlers) to extract data without written permission
  • Develop, train, or benchmark competing AI, accounting, or financial services
  • Overload, stress-test, or circumvent usage limits, rate limits, or security measures
  • Interfere with the Services (e.g., denial-of-service attacks, vulnerability exploitation)
  • Create multiple accounts to evade restrictions or abuse free trials
  • Sublicense, resell, or provide the Services to third parties (unless explicitly authorized)

We may monitor usage for compliance and take action, including suspension, termination, and reporting to law enforcement authorities.

Payment, Fees and Billing

1. Fees and Payment

Paid Services (e.g., premium features, subscriptions) are billed via the platform or third-party payment processors (e.g., Stripe, PayPal). Fees:

  • Are charged in advance on a recurring basis (monthly, annually, or as specified)
  • Are non-refundable except as required by law (e.g., 14-day cooling-off periods in certain jurisdictions)
  • Exclude applicable taxes, duties, or levies (e.g., VAT, GST, sales tax), which you must pay
  • May be updated with 30 days advance notice to your registered email address

2. Payment Authorization

By providing payment information, you authorize Zinancial and its payment processors to charge your payment method for all fees incurred.

3. Failed Payments

If payment fails, we may:

  • Retry charging your payment method
  • Suspend access to paid features
  • Terminate your account after reasonable notice
  • Charge late fees where permitted by law

4. Trial and Promotional Periods

  • Free trial or promotional access is subject to the terms of the specific promotion
  • Fees commence automatically at the end of the trial period unless you cancel before expiry
  • One trial per user or entity unless otherwise specified
  • We reserve the right to verify eligibility and deny or revoke trial access

Data Portability and Retention

1. Data Export

Prior to termination or upon request, you may export your account data in standard formats (CSV, Excel, JSON) or via our API. Export capabilities may have limitations based on your subscription tier.

2. Post-Termination Data Handling

  • You have 30 days following account termination to export your data
  • After the export period, we will delete or anonymize your data within 60 days
  • Certain data may be retained longer where required by law, for dispute resolution, fraud prevention, or as specified in our Privacy Policy
  • Backup copies may persist for up to 90 days before permanent deletion

Intellectual Property

1. Zinancial IP

Zinancial and its licensors own all intellectual property rights in the Services, software, documentation, branding, and content. This includes:

  • Source code, algorithms, and AI models
  • User interface designs and layouts
  • Trademarks, service marks, and logos
  • Documentation and training materials
  • Aggregated and anonymized usage data and insights

2. Restrictions

You may not:

  • Copy, modify, sublicense, sell, distribute, reverse engineer, decompile, or disassemble the Services or underlying code, except to the extent expressly permitted by applicable law or separate written agreement
  • Remove or alter proprietary notices, trademarks, or attributions
  • Use our trademarks or branding without written permission

3. Open-Source Components

The Services may incorporate open-source software components used under their corresponding licenses. Where such licenses impose obligations, Zinancial will comply and make required notices available.

4. Feedback

Any feedback, suggestions, or ideas you provide to Zinancial become our property. We may use, implement, or commercialize such feedback without obligation or compensation to you.

Third-Party Services and Integration

1. Third-Party Dependencies

The Services may integrate with or depend on third-party applications, websites, or services (e.g., payment processors, accounting software, banking APIs, data providers, cloud infrastructure).

2. Disclaimer

  • Zinancial is not responsible for the availability, performance, security, privacy practices, or content of third-party services
  • Your use of third-party integrations is subject to the third parties terms of service and privacy policies
  • You are responsible for any fees, obligations, or liabilities arising from third-party services

3. Authorization

When you authorize third-party integrations, you consent to data sharing as described in the integration authorization flow and our Privacy Policy.

Modifications to Services and Terms

1. Service Changes

We may modify, suspend, or discontinue any aspect of the Services at any time, including features, availability, or pricing. We will provide reasonable notice for material changes affecting paid subscriptions.

2. Terms Updates

We may update these Terms to reflect changes in our practices, technology, legal requirements, or business operations. Material changes will be communicated through:

  • Email notifications to your registered email address
  • Prominent notices within the Services
  • Updated posting on our website

Your continued use of the Services following notification constitutes acceptance of the revised Terms. The Effective Date at the top indicates when these Terms were last updated.

Termination and Suspension

1. Termination or Suspension by Zinancial

We may suspend or terminate your access immediately for:

  • Violations of these Terms or applicable laws
  • Non-payment of fees
  • Security risks or threats to the Services
  • Fraudulent or abusive behavior
  • Suspected illegal activity

We may also terminate accounts at our discretion with 30 days notice (unless terminating for cause).

2. Effects of Termination

  • All access to the Services ceases immediately
  • You must cease using and delete all copies of our software and applications
  • Customer Data will be handled as described in Section 8 and our Privacy Policy
  • Outstanding fees become immediately due and payable
  • Prepaid fees are non-refundable except as required by law

Warranties and Disclaimers

1. Service Provision

Zinancial will provide the Services with reasonable care and skill.

2. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED AS-IS AND AS-AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement
  • Warranties regarding accuracy, reliability, availability, or completeness of the Services or AI-generated outputs
  • Warranties that the Services will be uninterrupted, error-free, secure, or free from viruses or harmful components
  • Warranties regarding third-party services, integrations, or data

Some jurisdictions do not allow exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

1. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINANCIALS TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM (MINIMUM 100 USD).

2. Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINANCIAL IS NOT LIABLE FOR:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, business opportunities, data, or goodwill
  • Cost of procurement of substitute services
  • Business interruption or downtime

This applies even if Zinancial has been advised of the possibility of such damages and regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

3. Exceptions

Nothing in these Terms limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Violations of mandatory consumer protection laws
  • Other liability that cannot be excluded or limited by applicable law

Indemnification

You agree to indemnify, defend, and hold harmless Zinancial, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising from or relating to:

  • Your use or misuse of the Services
  • Your Customer Data or content
  • Your violation of these Terms or applicable laws
  • Your infringement of third-party rights
  • Your negligence or willful misconduct

Zinancial reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with such defense.

Dispute Resolution and Governing Law

1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction Where Zinancial is Incorporated - To Be Updated], without regard to conflict of laws principles, except where mandatory local consumer protection laws apply.

2. Jurisdiction

Compliance and Regulatory Matters

Both parties will comply with applicable data protection laws as detailed in our Privacy Policy and Data Processing Agreement (where applicable).

2. Export Controls

The Services may be subject to export control laws. You agree not to export, re-export, or transfer the Services in violation of such laws.

3. Anti-Corruption

You represent that you will comply with all applicable anti-corruption and anti-bribery laws, including the US Foreign Corrupt Practices Act and UK Bribery Act.

4. Financial Regulations

If you are subject to financial services regulations (e.g., licensing requirements, AML/KYC obligations), you are solely responsible for compliance.
